General Terms

1. Intellectual property

All deliverables, templates, and written materials provided under an engagement remain the intellectual property of AegisLattice Advisory until full payment is received, after which usage rights transfer according to the statement of work. Client-provided information, trademarks, and confidential data remain the property of the client. Neither party may publicly reference the other without prior written consent, except where disclosure is mandated by competent authorities in the Republic of Korea. Software or third-party materials introduced during an engagement are governed by their respective licenses. The client agrees not to remove attribution notices embedded in advisory templates.

2. Governing law and venue

These terms are governed by the laws of the Republic of Korea without regard to conflict-of-law principles. Disputes shall be submitted to the exclusive jurisdiction of the courts located in Seoul, unless both parties elect binding arbitration under Korean Commercial Arbitration Board rules in writing. Where mandatory consumer protections apply to an individual purchaser, nothing in this section limits non-waivable rights granted under the Framework Act on Consumers or related statutes.

3. Acceptance of terms

By accessing this website, requesting proposals, or signing a statement of work, you acknowledge that you have read and understood these terms. If you are entering into an engagement on behalf of an organization, you represent that you have authority to bind that organization. Electronic acceptance and scanned signatures have the same effect as originals where permitted by law.

4. Liability limitations

Advisory services are professional opinions and do not guarantee specific regulatory outcomes or absence of security incidents. To the fullest extent permitted by Korean law, aggregate liability arising from any engagement shall not exceed the fees paid for the specific deliverable giving rise to the claim during the twelve months preceding the event. We are not liable for indirect, consequential, or punitive damages except where such limitation is prohibited. Clients remain responsible for operational decisions, vendor selections, and implementation quality.

5. Client responsibilities

Clients shall provide timely access to relevant personnel, systems within agreed scope, and accurate background materials. Withholding material facts that affect recommendations may void warranties of fitness for purpose implied by industry practice. Clients must maintain appropriate licenses for any software used during collaboration and ensure export-control compliance for data shared internationally.

6. Termination

Either party may terminate for material breach that remains uncured thirty days after written notice. Either party may terminate engagements for convenience where the statement of work expressly permits, subject to payment for work completed and non-cancellable third-party costs. Upon termination, each party shall return or destroy confidential information per the confidentiality clause of the governing agreement.

7. Service description

AegisLattice Advisory provides zero trust architecture consulting, including assessments, roadmaps, and executive briefings as described on this website and in executed statements of work. Unless explicitly included, services do not constitute legal advice, penetration testing without a separate authorization, or 24/7 managed detection and response.

8. Operational appendix — evidence handling

Evidence collected during assessments is stored in encrypted repositories with role-based access. Retention defaults to ninety days after report delivery unless a longer period is required by law or agreed in writing. Clients may request certified deletion schedules subject to statutory hold obligations.

9. Operational appendix — subcontracting

We may engage specialized subcontractors under confidentiality terms no weaker than those applied to our own staff. The client will be notified of any subcontractor who processes personal data before processing begins.

10. Operational appendix — independence

We maintain organizational independence from security product vendors. Any referral arrangements are disclosed in writing before recommendations are finalized.
